We aim to provide our management and employees with clear guiding principles on integrity and ethics in business conduct. As such, we have drawn up policies to cover operational and functional matters and, to govern how we like to run our business.

Code of Conduct

The Code of Conduct governs our business decisions and actions and provides the minimum standards of corporate behavior we require from our employees when conducting D.E MASTER BLENDERS 1753’s business. It furthermore includes our code of conduct in connection with our internal risk management and control systems.

Supplier Code of Conduct

The Supplier Code of Conduct articulates our expectations for all of our suppliers and contractors to minimize any adverse environmental and/or social impact directly associated with the goods and services we purchase. We expect that all suppliers from whom we purchase goods or services will ensure their business practices and policies are in line with our values and Supplier Code of Conduct.

Verification of compliance is subject to audit by D.E MASTER BLENDERS 1753 or a designated third party. We will take the necessary corrective actions—from advising suppliers of violations and expected remediation actions to termination of agreements with these suppliers—to maintain our standards and comply with our Supplier Code of Conduct.

Whistleblowers Procedure

We strive for a culture of openness, integrity and reliability. We have incorporated these values in our policies which underline our commitment to ethical behavior and compliance with laws and regulations in force in the countries in which we operate.

The Whistleblowers Procedure provides our employees with rules on how to report violations of our Code of Conduct and other policies. Reports made by our employees are treated confidentially and are promptly investigated without any risk of recourse for the employee. The Whistleblower Procedure applies to all our operating companies, including the subsidiaries and affiliates in which D.E MASTER BLENDERS 1753 holds a majority interest.

Insider Trading Regulations

As a result of our listing on NYSE Amsterdam Stock Exchange we are obliged to make arrangements to prevent the use of insider information by management and employees. These rules are defined in the D.E MASTER BLENDERS 1753 Regulations concerning the holding of and executing transactions in D.E MASTER BLENDERS 1753 shares and certain other financial instruments. These regulations apply to the Board of Directors, the Executive Committee and our employees.

External Auditor

The external auditor of D.E MASTER BLENDERS 1753 N.V. is appointed by the General Meeting of Shareholders in accordance with our Articles of Association. Our current external auditor, PricewaterhouseCoopers has been appointed on 25 June 2012 as external auditor until revocation.
